Job Purpose

To ensure that the company complies with statutory and regulatory requirements, maintains proper corporate governance, and supports the board in executing its responsibilities.

Key Responsibilities

  1. Statutory Compliance
    • Maintain company statutory registers and records.
    • File annual returns and other statutory documents with the Registrar of Companies.
    • Ensure compliance with the Companies Act, 2015 (Kenya) and any relevant legislation.
  2. Board and Shareholder Support
    • Organize board meetings and Annual General Meetings (AGMs).
    • Prepare and circulate board meeting notices, agendas, and minutes.
    • Advise directors on their legal and corporate responsibilities.
  3. Corporate Governance
    • Ensure the company adheres to principles of good corporate governance.
    • Update directors on changes in legislation and governance practices.
  4. Document & Record Management
    • Maintain proper custody of company seals, minute books, and share certificates.
    • Record changes in shareholding, directorship or company structure.
  5. Liaison & Communication
    • Act as a liaison between the company and regulatory bodies (e.g., BRS, KRA, CMA if applicable).
    • Communicate official resolutions and filings with relevant authorities.
